1. Acceptance of Terms

By accessing and using Acquisition Atlas ("Service", "Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Acquisition Atlas regarding your access to and use of the Service.

2. Description of Service

Acquisition Atlas provides a comprehensive property data and analytics platform, including but not limited to:

• Property tax lien information and foreclosure data
• Property ownership records and historical data
• Market analytics and property valuations
• Search and filtering tools for property research
• Data export and reporting capabilities
• API access for enterprise customers

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years of age to use this Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

3.3 Business Accounts

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your acceptance of these Terms will be treated as acceptance by that organization.

4. Subscription Plans and Payments

4.1 Subscription Tiers

We offer various subscription plans with different features and usage limits. Current pricing and plan details are available on our pricing page.

4.2 Billing and Payment

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or expressly stated in these Terms
• You authorize us to charge your payment method on a recurring basis
• Prices are subject to change with 30 days' notice to existing subscribers
• Failed payments may result in service suspension or termination

4.3 Free Trials

We may offer free trial periods. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months or years, except where required by applicable law or at our sole discretion.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any local, state, national, or international law or regulation
• Infringe upon or violate our intellectual property rights or the rights of others
• Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• Submit false or misleading information
• Upload or transmit viruses, malware, or any malicious code
• Spam, phish, scrape, spider, or crawl the Service
• Interfere with or circumvent security features of the Service
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems to access the Service without permission
• Resell, redistribute, or provide access to the Service without authorization
• Use the Service for any illegal purpose, including harassment or stalking
• Extract data in bulk without proper API access or written permission

6. Data Accuracy and Usage

6.1 Data Sources

Acquisition Atlas aggregates data from various public records, government sources, and third-party data providers. While we strive for accuracy, we do not guarantee that all information is complete, accurate, or current.

6.2 Data Verification

You are solely responsible for verifying any information obtained through the Service before making business, financial, or legal decisions based on such data. We strongly recommend confirming critical information with official government sources.

6.3 No Professional Advice

The Service does not provide legal, financial, tax, or investment advice. Any information provided is for informational purposes only. You should consult with appropriate professionals before making decisions based on data from the Service.

6.4 Fair Housing and Anti-Discrimination

You agree to use the Service in compliance with all fair housing laws and anti-discrimination regulations, including the Fair Housing Act, Equal Credit Opportunity Act, and other applicable laws.

7. Intellectual Property Rights

7.1 Our Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Acquisition Atlas, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. This license does not include any right to:

• Modify or copy the materials
• Use the materials for commercial purposes without proper licensing
• Remove any copyright or proprietary notations
• Transfer the materials to another person or entity

7.3 Trademarks

"Acquisition Atlas" and all related logos, product and service names, designs, and slogans are trademarks of Acquisition Atlas or its affiliates. You may not use such marks without our prior written permission.

8. API and Developer Terms

If you access our API, you agree to comply with our API documentation and the following:

• Respect all rate limits and usage quotas for your subscription tier
• Implement proper error handling and retry logic
• Cache data appropriately to minimize unnecessary requests
• Maintain the security of your API keys and credentials
• Not share API access with unauthorized third parties
• Attribute data to Acquisition Atlas where required

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ACQUISITION ATLAS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Errors or inaccuracies in data provided by the Service

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Acquisition Atlas and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting customer support or through your account settings. Termination will be effective at the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

11.3 Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@acqatlas.com. We'll try to resolve the dispute informally by contacting you via email.

12.2 Arbitration Agreement

If we can't resolve the dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except as modified by these Terms.

12.3 Class Action Waiver

You and Acquisition Atlas agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and Acquisition Atlas concerning the Service.

15.2 Severability

If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice to you.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
